Terms of Use

1. Introduction and Acceptance of Terms

Welcome to EdTech Global. These Terms of Use (“Terms”) constitute a legally binding agreement between you and EdTech Global (“we,” “us,” or “our”) governing your access to and use of our online education platform, including our website, mobile applications, and all related services (collectively, the “Platform”).

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. If you are using the Platform on behalf of an organization (such as a tutoring institute), you represent and warrant that you have the authority to bind that organization to these Terms.

PLEASE READ THESE TERMS CAREFULLY. They contain important information about your rights and obligations, including limitations of liability and dispute resolution procedures.

2. Definitions

For the purposes of these Terms:

  • “Tenant” means a tutoring institute, educational organization, or individual tutor that subscribes to our Platform to deliver educational services.
  • “Tutor” means an individual who uses the Platform to create, manage, and deliver educational content and live classes.
  • “Student” means an individual who uses the Platform to access educational content, attend classes, and enroll in courses.
  • “Support Staff” means individuals designated by a Tenant to assist with administrative functions on the Platform.
  • “Content” means any materials, videos, documents, recordings, images, or other information uploaded, posted, or transmitted through the Platform.
  • “Subscription” means the paid service plan that enables Tenants to access Platform features.
  • “Services” means all features, functionalities, and services provided through the Platform.

3. Eligibility

3.1 Age Requirements

You must be at least 18 years old to register as a Tutor or create a Tenant account. Students under the age of 18 may use the Platform with parental or guardian consent. Parents or guardians are responsible for supervising their children's use of the Platform and ensuring compliance with these Terms.

3.2 Legal Capacity

By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not prohibited from using the Platform under any applicable laws.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Platform, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

4.2 Account Types

The Platform supports the following account types:

  • Tenant Administrator: Full access to manage the institute, tutors, students, and settings
  • Tutor: Access to create and manage classes, courses, and view enrolled students
  • Support Staff: Limited administrative access as configured by the Tenant Administrator
  • Student: Access to enrolled classes, courses, materials, and recordings

4.3 Authentication Methods

  • Tutors and Administrators: Email and password authentication
  • Students: Phone number with OTP (One-Time Password) verification, or email/password for international students

5. Platform Services

5.1 Services Provided

EdTech Global provides the following services:

  • Live Classes: Scheduling and delivery of live video classes via Zoom integration
  • Course Management: Creation and delivery of structured courses with video and document lessons
  • Student Management: Enrollment tracking, attendance recording, and progress monitoring
  • Payment Management: Invoice generation, payment tracking, and access control based on payment status
  • Recording Storage: Storage and delivery of class recordings
  • Website Builder: Custom branded websites for Tenants (available on select plans)
  • Notifications: SMS and email notifications for class reminders and updates

5.2 Class Types

  • Public Classes: Accessible via a shared meeting link and passcode
  • Secured Classes: Require individual student registration; each student receives a unique join link
  • One-time Classes: Single session classes
  • Recurring Classes: Weekly recurring classes with monthly payment cycles

5.3 Service Availability

We strive to maintain Platform availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of scheduled maintenance in advance.

6. Subscription Plans and Billing

This section applies to Tenants (tutoring institutes and individual tutors).

6.1 Subscription Plans

We offer multiple subscription tiers with varying features and limits:

6.2 Usage-Based Charges

In addition to subscription fees, the following usage-based charges may apply:

  • SMS Notifications: Charged based on the number of SMS messages sent, according to tiered pricing
  • Storage Overage: Additional charges for storage exceeding your plan's allocation
  • Additional Modules: Course management and Website builder may incur additional monthly fees on certain plans

6.3 Payment Terms

  • Subscription fees are billed monthly or annually, as selected
  • Payment is currently accepted via bank transfer
  • Invoices are issued at the beginning of each billing period
  • Payment is due within the specified period on the invoice
  • Late payments may result in service suspension or account termination

6.4 Plan Changes and Cancellation

  • You may upgrade your plan at any time; changes take effect immediately
  • Downgrades take effect at the end of the current billing period
  • Cancellation requests must be submitted before the next billing cycle
  • No refunds are provided for partial billing periods or unused features

6.5 Account Suspension

We reserve the right to suspend or restrict access to your account if: payment is overdue, you exceed your plan limits, or you violate these Terms. We will provide reasonable notice before suspension, except in cases of serious violations.

7. Student Payment Terms

This section applies to Students enrolling in classes and courses.

7.1 Class Fees

  • Class fees are set by individual Tutors/Tenants
  • For recurring classes, payment is due monthly
  • Tutors may offer a specified number of free trial classes
  • Payment must be completed before accessing paid class sessions, materials, and recordings

7.2 Course Fees

  • Course fees are one-time payments for full course access
  • Access to course content begins upon payment confirmation
  • Course access duration is determined by the Tutor/Tenant

7.3 Payment Methods

Payments to Tutors/Tenants are currently processed via bank transfer. Students must submit payment proof through the Platform for verification. Payment gateways may be added in the future.

7.4 Refund Policy

Refund policies are determined by individual Tutors/Tenants. EdTech Global does not process refunds directly; all refund requests should be directed to the respective Tutor/Tenant. EdTech Global is not responsible for disputes between Students and Tutors/Tenants regarding fees or refunds.

8. User Content and Intellectual Property

8.1 Your Content

You retain ownership of Content you upload to the Platform. By uploading Content, you grant EdTech Global a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your Content solely for the purpose of operating and providing the Services.

8.2 Tutor Content Rights

Tutors retain all intellectual property rights to their educational content, including:

  • Class recordings
  • Course materials and videos
  • Documents and presentations
  • Any other educational materials uploaded to the Platform

8.3 Student Use of Content

Students are granted a limited, non-exclusive, non-transferable license to access and view Content for personal educational purposes only. Students may not:

  • Download, copy, or distribute recordings or materials without permission
  • Share login credentials or class access links with others
  • Record or capture live class sessions without authorization
  • Use Content for commercial purposes
  • Modify, create derivative works, or reverse engineer any Content

8.4 EdTech Global Intellectual Property

The Platform, including its design, features, functionality, trademarks, logos, and all related intellectual property, is owned by EdTech Global. Nothing in these Terms grants you any right to use our intellectual property without our express written permission.

9. Acceptable Use Policy

9.1 Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Harass, abuse, threaten, or intimidate other users
  • Post false, misleading, or fraudulent information
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform's operation
  • Use automated systems (bots, scrapers) without permission
  • Impersonate another person or entity
  • Engage in any activity that could harm minors

9.2 Content Standards

All Content uploaded to the Platform must:

  • Be relevant to educational purposes
  • Not contain obscene, offensive, or inappropriate material
  • Not infringe on copyrights, trademarks, or other proprietary rights
  • Not contain hate speech, discrimination, or incitement to violence
  • Comply with all applicable laws and regulations

9.3 Enforcement

We reserve the right to remove Content, suspend accounts, or take other appropriate action for violations of this Acceptable Use Policy. Serious or repeated violations may result in permanent account termination.

10. Third-Party Integrations

10.1 Zoom Integration

The Platform integrates with Zoom Video Communications for live class delivery. By connecting your Zoom account, you agree to Zoom's Terms of Service. EdTech Global is not responsible for Zoom's service availability, functionality, or any issues arising from Zoom's services.

10.2 YouTube Integration

Tutors may connect their YouTube accounts for live streaming. By using this feature, you agree to YouTube's Terms of Service. You are responsible for ensuring your streams comply with YouTube's policies.

10.3 Third-Party Services Disclaimer

EdTech Global does not control and is not responsible for third-party services integrated with the Platform. Your use of third-party services is at your own risk and subject to those services' terms and policies.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.

12. Disclaimers

12.1 “As Is” Basis

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

12.2 No Guarantee of Results

EdTech Global does not guarantee any educational outcomes, certification, or results from using the Platform. The quality of educational content and instruction is the responsibility of individual Tutors/Tenants.

12.3 Third-Party Content

We do not endorse, guarantee, or assume responsibility for any Content posted by Tutors, Students, or other users. Views expressed in user-generated content do not represent the views of EdTech Global.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • EdTech Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
  • We are not liable for any loss or damage arising from: unauthorized access to your account; errors or interruptions in service; actions of third parties; or Content posted by users
  • Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some limitations may not apply to you

14. Indemnification

You agree to indemnify, defend, and hold harmless EdTech Global, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Content you upload or transmit through the Platform.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature (where available). Termination does not relieve you of any payment obligations incurred prior to termination.

15.2 Termination by EdTech Global

We may suspend or terminate your account at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended inactivity
  • Any other reason at our sole discretion, with reasonable notice where possible

15.3 Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases
  • You remain liable for all fees incurred prior to termination
  • Your Content may be deleted after a grace period (as specified in our Privacy Policy)
  • Provisions that by their nature should survive termination shall remain in effect

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and terminate your account.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at legal@edtechglobal.io to attempt to resolve the dispute informally. We will endeavor to resolve disputes within 30 days of receiving notice.

17.2 Arbitration

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the Sri Lanka National Arbitration Centre, unless you opt out of arbitration within 30 days of accepting these Terms.

17.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Colombo, Sri Lanka.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EdTech Global regarding the Platform and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.5 Force Majeure

EdTech Global shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21. Acknowledgment

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
